CONSTITUTION
We, the members of the Confraternity of Saint Arethas and Companions, in deep reverence and devotion to Saint Arethas and his Companions, establish this Constitution to guide our lay association. Rooted in the teachings of the Holy Catholic Church, we strive to foster unity, charity, and spiritual growth among our members and to bring Christ to the world through acts of kindness, prayerful devotion, and evangelization.
This Constitution is organized under the provisions of Canon Law, particularly referencing Canons 298-311 and 321-326 of the Code of Canon Law, which govern associations of the faithful. We affirm our commitment to adhere to these canonical norms, ensuring that our activities and governance align with the spiritual and legal framework established by the Church.
Under the patronage and guidance of the Apostolic Vicar of Northern Arabia, we dedicate ourselves to honoring the legacy of Saint Arethas and his Companions. We pledge to uphold the values of charity, unity, and evangelization, fostering a vibrant and supportive association rooted in our shared faith and devotion to the holy martyrs.
By this Constitution, we seek to formalize our structure, articulate our mission and values, and provide a clear framework for our activities, membership, and governance, in accordance with the canonical regulations of the Catholic Church.
Section Title
Article I. Name and Affiliation
1. The official name of this lay association shall be the Confraternity of Saint Arethas and Companions (Latin: Confraternitatis Sancti Arethae et Sociorum), hereinafter referred to as “the Confraternity.”

2. The Confraternity is under the patronage of the Apostolic Vicar of Northern Arabia, adhering to his vision, guidance, and direction. As such, its existence and continuity are contingent upon the support of the Apostolic Vicar and his successors.
Article II. Mission Statement
The Confraternity of Saint Arethas and Companions is committed to the veneration of Saint Arethas and his Companions by promoting unity, charity, and spiritual growth among its members. Rooted in the teachings of the Catholic Church and the Apostolic Vicariate of Northern Arabia, we strive to serve the society in which we live through acts of kindness, prayerful devotion, and evangelization.
Article III. Membership
1. Membership in the Confraternity is open to baptized Christians who demonstrate a commitment to the mission of the Confraternity and actively participate in its activities.

2. Prospective members shall submit an application to the Confraternity for review and acceptance.
​
3. Members are expected to adhere to the Confraternity’s mission, participate in its activities, and uphold its values, principles, and teachings.
​
4. The Confraternity recognizes three levels of Membership:
​
 Full-Time Members: These members commit to fully participating in all aspects of the Confraternity’s activities, including regular meetings, spiritual gatherings, and charitable works. They have voting rights and can hold leadership positions within the Confraternity.
​
 Associate Members: These members support the mission and activities of the Confraternity but may have limited availability to participate regularly. They do not have voting rights but can contribute to specific projects and events.
​
 Honorary Members: Individuals who have made significant contributions to the Confraternity or its mission may be granted honorary membership. They are recognized for their support and commitment but do not have voting rights or obligations to participate regularly in activities.
Article IV. Charisms
The Confraternity embraces the following charisms, inspired by the life and virtues of Saint Arethas and his Companions:

 Charity and Service: Following the example of Saint Arethas and his Companions, we dedicate ourselves to serving others with love and compassion, particularly the marginalized and the persecuted, and those in need within our community.
​
 Spiritual Growth: We promote spiritual growth through regular prayer, reflection on Scripture, sacramental life, and spiritual direction, seeking to deepen our personal relationship with God following the exemplary witness of Saint Arethas and Companions.
​
 Unity and Community: We strive to foster a sense of unity and community among our members, rooted in our shared faith and commitment to living out Gospel values for which the holy martyrs gave their lives. We support one another in faith formation, mutual encouragement, and collaboration in charitable works.
​
 Evangelization: Guided by the teachings of the Catholic Church, we actively participate in evangelization efforts, sharing the Gospel message with joy, courage, and humility, and inviting others to encounter Christ through our words and actions, drawing inspiration from the heroic lives of the holy martyrs.
​
 Cultural Enrichment: We uphold the cultural traditions and practices that deepen our devotion to Saint Arethas and his Companions. This includes celebrating their feast days, participating in religious activities, and incorporating cultural symbols and rituals that reflect our diverse heritage. By integrating these cultural aspects, we deepen our connection to the saints and enrich our communal spiritual life.

 Fidelity to the Apostolic Vicar: We maintain unwavering fidelity to the Apostolic Vicar of Northern Arabia, adhering to his spiritual and pastoral guidance. Our commitment includes supporting his initiatives, respecting his directives, and fostering a collaborative relationship with the Apostolic Vicariate to ensure our activities align with the broader mission of the Catholic Church in Northern Arabia.

 Commitment to Ecumenism and Inter-religious Dialogue: In alignment with the Catholic Church’s commitment to fostering unity and understanding among different faith traditions, we actively engage in ecumenical and inter-religious dialogue. This involves:
​
• Ecumenism: Promoting dialogue and cooperation with other Christian denominations to advance mutual understanding, respect, and unity. We participate in joint prayer services, theological discussions, and community service projects, recognizing our shared faith in Christ and working towards the reconciliation of all Christians.
​
• Inter-religious Dialogue: Engaging in respectful and meaningful exchanges with members of other religious traditions to promote peace, understanding, and harmony. We participate in interfaith initiatives, educational programs, and cultural exchanges, seeking to build bridges of friendship and cooperation while respecting the diverse beliefs and practices of others.
 Defense of Religious Freedom: We actively advocate for the protection of religious freedom for all people, recognizing it as a fundamental human right. Inspired by the courage and faith of Saint Arethas and his Companions, we work to defend the right of individuals to practice their faith without fear of persecution or discrimination. This includes raising awareness, supporting civil efforts, and engaging in interfaith collaboration to promote tolerance and understanding.
Article V. Spiritual Practices
Members of the Confraternity are encouraged to engage in regular spiritual practices to strengthen their faith, including:

 Daily personal prayer and meditation, incorporating the official prayer of the Confraternity.
 Participation in the sacraments, especially the Holy Eucharist and Reconciliation.
 Devotion to Saint Arethas and his Companions by invoking their intercession and protection.
 Fasting and other forms of penance as appropriate.
 Actively recruiting and guiding others in fostering personal devotion to the saints.
Article VI. Activities
The Confraternity shall engage in various activities to fulfill its mission, including but not limited to:

 Promoting Devotion to the Saints: Encouraging devotion to the saints through activities such as feast day celebrations, processions, and educational symposia highlighting the lives and virtues of Saint Arethas and his Companions. Members are invited to emulate the examples set by the saints in their daily lives and spiritual practices.
​
 Undertaking Research and Studies into the Lives of the Saints: Encouraging members to study and research the lives, writings, and legacies of the saints. This includes fostering a deeper understanding of the historical, cultural, and spiritual contexts in which the saints lived, promoting admiration and emulation of their exemplary lives.
​
 Organizing Regular Pilgrimages to Najran: Organizing regular pilgrimages to Najran, where members can deepen their spiritual journey by visiting sites identified with the saints, engaging in prayerful reflection, and participating in cultural activities that enrich their faith experience.
​
 Organizing Charitable Events and Outreach Programs: Engaging in activities that serve the society and support those in need.
​
 Conducting Prayer Meetings, Bible Studies, and Spiritual Retreats: Facilitating opportunities for members to grow in faith and community.
​
 Participating in and Supporting Other Parish Activities and Initiatives: Collaborating with local parishes and the broader Catholic community.
​
 Carrying Out Other Activities that may be Assigned by the Apostolic Vicar: Remaining flexible to address the evolving needs and directives of the Apostolic Vicar.
Article VII. Use of Signages, Insignias, and Symbols
1. The Confraternity shall use signages, insignias, and symbols that reflect its mission and values, and honor the witness of Saint Arethas and his Companions.

2. The design and use of such symbols shall be approved by the Council of Elders and conform to the guidelines set by the Apostolic Vicar of Northern Arabia.
​
3. Members of the Confraternity are encouraged to wear a Scapular as a visible sign of their commitment to the Confraternity’s mission and values. The Scapular shall be designed to reflect the Confraternity’s spiritual heritage and be worn during official gatherings, religious events, and other activities as a symbol of devotion and unity.
Article VIII. Leadership Structure
1. The Confraternity shall be led by a Council of Elders, composed of experienced and respected members of the Confraternity.

2. The Council of Elders shall consist of seven members:
​
 President: Elected by the members to represent the Confraternity and oversee its activities.
 Vice-President: Assists the President and assumes his duties in his absence.
 Secretary: Maintains records, minutes of meetings, and handles correspondence.
 Treasurer: Manages the Confraternity’s finances, including budgeting, reporting, and fundraising.
 Three Regular Officers: Participate in decision-making and ensure the spirit of synodality.

3. The Council of Elders shall be elected by the members of the Confraternity every three years. Each member of the Council of Elders shall serve a term of three years, with the possibility of reelection for one additional term. After serving two consecutive terms, a member must step down from the Council of Elders for a minimum of one term before being eligible for reelection.
​
4. The Council of Elders shall meet regularly to plan and coordinate activities, ensuring that the Confraternity’s mission and values are upheld.
​
5. The Apostolic Vicar is the chief teacher, sanctifier, and shepherd of the Confraternity. He exercises overall oversight of the Confraternity, which he may choose to delegate to a clergy member.
Article IX. Election, Removal, Resignation, and Replacement of the Council of Elders
1. Election of the Council of Elders
​
 The election of the Council of Elders shall be conducted every three years through a transparent process.
 A Nominating Committee, appointed by the current Council of Elders, shall solicit nominations from the membership and verify the eligibility of candidates.
 Eligible candidates may self-nominate or be nominated by other members of the Confraternity.
 The election shall be conducted by secret ballot among all Full-Time Members, either in person or through a secure electronic voting platform.
 The candidates receiving the highest number of votes for each position on the Council of Elders shall be declared elected.
 In the event of a tie, the current Council of Elders shall determine the winner.
 The newly elected Council of Elders shall assume office immediately following the announcement of election results and shall serve a term of three years, with the possibility of reelection for one additional term.
 The elected members of the Council of Elders shall be affirmed by the Apostolic Vicar of Northern Arabia before assuming their roles.

2. Removal from Office
A member of the Council of Elders may be removed from office by a two-thirds majority vote of the remaining Council members for misconduct, neglect of duties, or actions contrary to the mission and values of the Confraternity. The decision to remove a member must be affirmed by the Apostolic Vicar of Northern Arabia.
​
3. Resignation
Any member of the Council of Elders may resign from their position by submitting a written resignation to the Council. The resignation shall take effect upon acceptance by the Council of Elders and must be communicated to the Apostolic Vicar of Northern Arabia.
​
4. Replacement
In the event of a resignation or removal of a Council member, the remaining Council of Elders may appoint a replacement to fulfill the unexpired term. The appointment shall be confirmed by a majority vote of the remaining Council members and affirmed by the Apostolic Vicar of Northern Arabia.
Article X. Meetings and Decision-Making
1. Regular meetings of the Confraternity shall be held to discuss organizational matters, spiritual reflections, and initiatives, under the spiritual guidance and oversight of the Apostolic Vicar of Northern Arabia.

2. Decision-making within meetings shall adhere to the principles of collegiality and discernment, guided by the spiritual direction of the Apostolic Vicar of Northern Arabia. Discussions shall be conducted respectfully and with the intention of discerning God’s will for the Confraternity.
​
3. In matters requiring decisions, the spiritual guidance of the Apostolic Vicar of Northern Arabia shall be sought and respected. Discussions shall aim to reflect the values of charity, unity, and spiritual growth as upheld by the Apostolic Vicar.
​
4. If consensus cannot be reached, decisions shall be made by a majority vote of the Council of Elders, with the understanding that the spiritual guidance of the Apostolic Vicar of Northern Arabia remains paramount in all deliberations.
5. The Apostolic Vicar has the right to veto any decisions he deems inappropriate or contrary to the spirit of the Confraternity. This includes any actions, policies, or initiatives that he believes conflict with the mission, values, or teachings of the Catholic Church, or that may harm the unity and spiritual growth of the Confraternity. The veto power ensures that all activities and decisions of the Confraternity remain aligned with the broader mission and vision of the Apostolic Vicariate of Northern Arabia.
Article XI. Conflict Resolution
1. In the event of disputes or conflicts within the Confraternity, members shall seek to resolve issues through dialogue, mutual respect, and in a spirit of Christian charity.

2. If a resolution cannot be achieved internally, the matter may be referred to the Apostolic Vicar or his delegate for mediation and guidance.
Article XII. Code of Conduct
Members of the Confraternity are expected to uphold the highest standards of Christian conduct, including:

 Treating all individuals with respect, dignity, and compassion.
 Adhering to the moral teachings of the Catholic Church.
 Acting with integrity and honesty in all dealings.
 Supporting and encouraging fellow members in their spiritual journeys.
Article XIII. Financial Matters
1. Financial management of the Confraternity shall be conducted in accordance with established financial policies and procedures in the Apostolic Vicariate of Northern Arabia to ensure transparency and accountability.

2. The Treasurer shall prepare an annual budget, which must be approved by the majority of the Council of Elders.
​
3. All expenses and financial transactions must be documented and reported at regular meetings.
Article XIV. Relationship with the Apostolic Vicariate of Northern Arabia
1. The Confraternity recognizes and respects the authority of the Apostolic Vicar of Northern Arabia. All activities and initiatives of the Confraternity shall be conducted in harmony with the directives and guidance provided by the Apostolic Vicar.

2. The Confraternity shall submit an annual report to the Apostolic Vicar, detailing its activities, financial status, and future plans.
​
3. The Apostolic Vicar or his delegate shall have the right to attend meetings of the Council of Elders and general assemblies of the Confraternity.
Article XV. Local Confraternity Chapters
1. Establishment of Chapters:
 The Confraternity may establish local chapters in various locations to further its mission and outreach.
 The establishment of new chapters must be approved by the Council of Elders and affirmed by the Apostolic Vicar.

2. Governance of Chapters:
 Each chapter shall be governed by a local Council of Elders, consisting of a President, Vice-President, Secretary, Treasurer, and three Regular Officers.
 The local Council of Elders shall be elected by the members of the respective chapter every three years and must be affirmed by the Apostolic Vicar.
​
3. Roles and Responsibilities:
 Local chapters shall adhere to the mission, values, and guidelines of the Confraternity as outlined in this Constitution.
 Local Councils of Elders shall coordinate with the central Council of Elders to ensure alignment with the overall direction and activities of the Confraternity.
 Chapters are responsible for organizing local activities, meetings, and initiatives that support the Confraternity’s mission.

4. Reporting and Accountability:
 Local chapters shall submit an annual report of their activities, financial status, and future plans to the central Council of Elders.
 The central Council of Elders, in collaboration with the Apostolic Vicar, shall have the authority to review and provide guidance to ensure the chapters’ compliance with the Confraternity’s objectives.

5. Dissolution of Chapters:
 In the event that a local chapter is unable to sustain its activities or fails to adhere to the Confraternity’s mission and guidelines, the Council of Elders, with the affirmation of the Apostolic Vicar, may dissolve the chapter.
 Upon dissolution, any remaining assets of the chapter shall be transferred to the central Confraternity or an appropriate entity designated by the Apostolic Vicar of Northern Arabia.
Article XVI. Dissolution
In the event of the dissolution of the Confraternity, all remaining assets shall be distributed to an appropriate entity within the Apostolic Vicariate of Northern Arabia, in alignment with the Confraternity’s mission.
Article XVII. Amendments
Amendments to this Constitution may be proposed by any member in good standing and must be approved by a two-thirds majority vote of the members present at a general assembly and affirmed by the Apostolic Vicar of Northern Arabia.
Article XVIII. Transitory Provision
The first Council of Elders shall be appointed by the Apostolic Vicar of Northern Arabia for a term of three (3) years. These appointed members shall be eligible to stand for election for subsequent terms as outlined in the election procedures of this Constitution.
Article XIX. Miscellaneous Provisions
1. The Confraternity shall maintain a permanent record of all its documents, minutes of meetings, and official correspondence.

2. The headquarters of the Confraternity shall be located within the territory of the Apostolic Vicariate of Northern Arabia.
Ratification
The Confraternity of Saint Arethas and Companions dedicates itself to the spiritual and communal mission set forth in this Constitution. We pledge to uphold the values of charity, unity, and evangelization, inspired by the heroic virtues of Saint Arethas and his Companions.

With unwavering fidelity to the teachings of the Catholic Church and under the guidance of the Apostolic Vicar of Northern Arabia, we commit to nurturing a vibrant lay association rooted in faith, service, and cultural heritage. May our collective efforts, grounded in prayer and action, continue to honor Saint Arethas and Companions, and bring forth the light of Christ to the world.
